
Nestlé Pakistan is set to join Nestlé S.A.’s proposed Peranel joint venture, with local implementation dependent on regulatory and corporate approvals.
Nestlé Pakistan Limited (PSX: NESTLE) has announced that it is expected to become part of a proposed global restructuring involving its majority shareholder, Nestlé S.A. Under the plan, Nestlé S.A. and private investment firm Platinum Equity intend to establish Peranel, ajointly owned company that will oversee Nestlé’sinternational waters and premium beverages business. The proposal is still awaiting employee consultations, regulatory clearances, and other required approvals before it can be completed.
If approved, the transaction is anticipated to conclude during the first half of 2027. Peranel will manage a portfolio of more than 30 brands distributed across 120 countries. Its lineup will include globallyrecognized names such as S.Pellegrino, Acqua Panna, Source Perrier, the Nestlé Pure Life brand, premiumhydration products, and a range of regional bottled water labels.
The new venture is expected to operate from itsheadquarters in Paris and will be led by Muriel Lienau, who currently heads Nestlé’s global waters and premium beverages division. In its official announcement, the company stated, “The proposed transaction remains subject to employee consultation processes and applicable regulatory approvals and is expected to close in the first half of 2027.”
Nestlé Pakistan confirmed that its water business falls within the scope of the global transaction. However, the company emphasized that the proposed changes in Pakistan will only move forward after definitiveagreements are signed and all corporate and regulatory requirements have been fulfilled. This means the local implementation process remains separate from the broader global proposal until all conditions are met.
For now, the company said its immediate step is the incorporation of a local entity linked to the proposed restructuring. It also assured shareholders that anysignificant development requiring disclosure will effort to reorganize its global waters and premium beveragesoperations through a dedicated joint venture with Platinum Equity. While Pakistan has been included inthe international framework, any local execution will depend on the completion of legal documentation andregulatory approvals before the proposal becomeseffective be communicated to the Pakistan StockExchange. In its filing, Nestlé Pakistan said, “Further-disclosures will be made if any material developments arise that require notification to the Pakistan Stock Exchange.”
