

CCP has approved Suol Innovations’ majority acquisition of KRRAVE Technologies after a competition review. The regulator said the deal is unlikely to affect market competition in Karachi’s online grocery delivery sector.
The Competition Commission of Pakistan has authorised the acquisition of a controlling stake in KRRAVE Technologies Pte. Ltd. by Suol Innovations Limited after examining the transaction under the Competition Act, 2010.
Suol Innovations, a Cyprus-based company affiliated with the global inDrive Group, obtained the shares from existing investors through call option arrangements. The deal had already been completed before the regulator’s clearance was sought and was therefore assessed through the Commission’s ex-post merger review process.
Suol Innovations operates within the structure of inDrive Holding Inc., an international technology platform that provides services including ride-hailing, intercity transport and courier delivery. In Pakistan, the group operates through its local subsidiary Sobo Tech (SMC-Private) Limited, which runs transport and delivery services under the inDrive brand.
The target company is incorporated in Singapore and serves as the parent entity of KRRAVE Technologies (Private) Limited, which manages the KRRAVE Mart online grocery delivery service currently operating in Karachi.
During its Phase-I evaluation, the CCP reviewed the business activities of both parties and found that they operate in different segments of the digital economy. Because their services do not directly overlap, the Commission concluded that the transaction is unlikely to weaken market competition or result in market dominance in Karachi’s online grocery delivery sector.
The regulator, however, advised the companies to obtain regulatory clearance before finalising similar transactions in the future.
